Training Course on the Creation and Management of a Spin Off: from theory to practice in Milan, Italy

This three-day in-depth training course is designed to provide an overview of the main problematic issues related to the creation and management of a new entrepreneurial initiative.

The main objective of the course is to provide participants with a basic knowledge of the main problems to be faced when creating a spin off and the potential solutions to them: particular attention will be devoted to the economic and financial sustainability of the initiative and to the founders' legal liability, both personal and collective.
The course will adopt a practical approach to juridical issues (law applying to universities and to public research entities; contract law; commercial law; taxation law), to business economics and to financial management issues.

The following topics will be covered:

DAY ONE
• Universities' and public entities' participation in group subjects.
• Main possible group subjects a spin off can take the form of, with reference to EU and Italian law: private partnerships, joint-stock companies, consortia, associations, EEIGs, etc.
• The main characters of the aforesaid group subjects; the formal requirements for their establishment; the necessary steps to be taken from an accounting and civil point of view, as well as in the matter of taxation.
• The shareholders' and the managers' personal liability towards creditors, employees and the revenue authorities.
• Taxation law applied to the various group subjects: tax to be paid by the spin off and by individual shareholders.
• The relationship between universities / research institutes and spin offs: the conflict of interests, conventions, IPR, the staff's status.
• Main EU funding opportunities for SMEs.

DAY TWO
• Identification of the corporate mission: the long-term economic equilibrium; causes and consequences of SMEs' failure.
• The design of a Business Plan: definition; objectives; contents; the main steps to be followed and other key aspects to be considered when drafting a BP.
• The funding sources: long-term and medium-term financial equilibrium; the concept of financial leverage; the guarantees required by the financial system; the business angels.
• The annual balance sheet and the evaluation of the corporate performance.

DAY THREE
Work on a case study:
• description of the entrepreneurial idea to be developed;
• subdivision of the participants in groups;
• each group will draft a BP, which will consist of these main parts: detailed analysis of the entrepreneurial idea; market analysis; technical and operational feasibility; economic and financial analysis; organisational structure; legal form of the spin off;
• discussion on the Business Plans produced by the various work groups; closing debate.

The course is targeted to specifically address the needs of:
• technical and administrative staff, either involved in the management of spin offs or in the support to researchers in matters of technological transfer;
• researchers, even with no economic and/or juridical background, who either intend to develop an entrepreneurial idea or would like to be acquainted with technological transfer issues.
Besides, the course can provide a good opportunity to network and to share good practices. THE COURSE WILL BE HELD IN ITALIAN.
